CY1WARP Terms and Conditions of Use

Cassidian Defence and Security Systems Limited (“Cassidian”) is the operator of a warning advisory and reporting point (“WARP”) website called “CY1WARP” which has been registered with Centre for the Protection of the National Infrastructure (“CPNI”). The CY1WARP will host a filtered warnings service for members of the Wales WARP community to receive and share up-to-date advice on information security threats, incidents and solutions.

Access to and use of the CY1WARP is provided by Cassidian. By using the CY1WARP you agree to be bound by the following terms and conditions which may be modified from time to time. You agree to be bound by such revisions, and agree to periodically revisit this page to review the current terms and conditions.

  1. Scope
    1. CY1WARP is a WARP, owned operated and managed by Cassidian from its security operations centre based in Newport, South Wales. The CY1WARP website provides the Wales WARP community with a filtered warning service for members to receive and share up-to-date advice on information security threats, incidents and solutions. Warnings and advisories will also be disseminated to members of the CY1WARP via authenticated email.
    2. You agree not to submit to the CY1WARP any material which is libellous defamatory invasive of privacy obscene pornographic harassing infringes any intellectual property rights (including copyrights) of any third party violates any law or regulation or advocates illegal activity.
  2. CY1WARP Purpose and Operation
    1. The CY1WARP website is designed to create a secure and trusted environment where members of the Wales WARP community can share experience, advice and best practice on information security. Members are encouraged to report sensitive information such as incident or threat data in order that other members can benefit from each others experiences. Bringing together the strength of multiple organisations, the CY1WARP service provides up to date notifications of computer threats, exploitations and attacks to enable members to avoid attacks or to respond quickly and effectively to attacks.
    2. As the CY1WARP operator Cassidian will:
      1. filter and analyse primary sources of relevant information and deliver it to the community through both the CY1WARP website and via authenticated email;
      2. if necessary will anonymise the identity of a reporting member such that the identity of the member is only known to Cassidian;
      3. ensure the CY1WARP site is maintained, although Cassidian may archive and/or delete old information periodically; and
      4. periodically host Wales WARP forum meetings where experiences are shared between members
    3. Sanitised anonymised reports may also be passed by Cassidian to other WARPs who are registered with CPNI and with whom a trusted relationship exists.
  3. Confidentiality

    The CY1WARP website is designed to create a secure and trusted environment where members can share information in confidence. Prior to being granted access to the CY1WARP all members will undertake the following obligations of confidence in respect of any information loaded onto the CY1WARP which should reasonably be assumed as being confidential or sensitive “Confidential Information”.
    1. The parties shall not divulge Confidential Information, in whole or in part, to any third party, and shall ensure that any Confidential Information is shared with its employees only to the extent necessary for the purpose described under Clause 2.1 and is treated in confidence by them. The parties shall ensure that their employees are aware of this obligation of confidence before accessing the CY1WARP website and shall take all reasonable steps to enforce it. Copies or reproductions of the Confidential Information shall not be made except to the extent reasonably necessary for the purpose and all copies made shall be the property of the originating member. All Confidential Information and copies thereof shall be returned to the originating member or confirmed as having been expunged within thirty days of receipt of a written request from the originating member or upon termination of this Agreement.
    2. The parties shall exercise no lesser security measures and degree of care in relation to the Confidential Information than those which it applies to its own Confidential Information, which measures and degree of care the parties warrant as providing adequate protection against unauthorised disclosure, copying or use.
    3. The provision of Sub-Clauses 3.1 and 3.2 shall continue to apply to Confidential Information for a period of seven (7) years from the date of disclosure.
    4. Confidential Information excludes information which:
      1. was or has become publicly available for use otherwise than in breach of any provision of this Agreement or any agreement which either Cassidian or you has with another member of the CY1WARP;
      2. was already known to either Cassidian or you (without restrictions on disclosure or use) prior to accessing it from the CY1WARP;
      3. was received without restriction on further disclosure from a third party who lawfully acquired it and who is himself under no obligation restricting its disclosure;
      4. was derived independently; or
      5. is required to be disclosed by law providing that the user gives the member the maximum practicable notice of such disclosure.
  4. Membership
    1. Once your registration application is accepted by Cassidian, you will receive a username and initial password to gain access to the CY1WARP. You agree to keep the username and password required to operate your account confidential at all times and not permit any third party to use the same for any purpose whatsoever.
    2. Cassidian may exclude your access to the CY1WARP in the following circumstances:
      1. This Agreement has been terminated;
      2. You fail to pay the annual charges; or
      3. Where a circumstance outlined in Clause 1.2 above applies or in any other circumstance where Cassidian reasonably determines that your actions or omissions have prejudiced the effective operation of the CY1WARP.
    3. Cassidian may at any time make alterations to or to withdraw the CY1WARP or any part of it.
  5. Charges
    1. The CY1WARP is run on a not for profit basis. The charges levied are to cover the costs of operating and maintaining the CY1WARP only.
    2. You will be given a free trial period of three (3) months from the date of registration.
    3. After the expiry of the trial period should you wish to remain registered an annual subscription will be charged. The charge for annual membership for the first year will be five hundred (Ł500) pounds (excluding VAT) to be made as a one off payment. This payment is non refundable upon early termination.
    4. Payment shall be made by BACS to the bank account specified on the invoice within thirty (30) days of the date of invoice.
    5. The annual charge payable by you will be reviewed on an annual basis.
  6. Liability
    1. Cassidian excludes all warranties, express or implied relating to the CY1WARP. It is understood that the CY1WARP is not a managed security service or a technical support service and Cassidian accepts no responsibility for any errors or omissions and excludes all liability to you for any loss or damage whatsoever, arising from the usage of information supplied.
    2. Notwithstanding the above neither party excludes or limits its liability to the other party in respect of which such exclusion or limitation is prohibited by English law.
    3. Reference to any specific commercial product, process or service by trade name, trademark manufacturer, or otherwise, does not constitute or imply its endorsement, recommendation, or favouring by Cassidian.
  7. Notices
    1. All notices under this Agreement shall be in writing, sent by facsimile or first class registered or recorded delivery post to the party being served at its address specified above or at such other address of which such party shall have given notice as aforesaid, and marked for the attention of that party's signatory of this Agreement. The date of service shall be deemed to be the day following the day on which the notice was transmitted or posted as the case may be.
  8. Termination
    1. This Agreement shall continue in force from the date hereof until terminated by mutual consent or by either party by giving to the other not less than one month's prior notice.
  9. Non Assignment
    1. This Agreement is personal to the parties and shall not be assigned or otherwise transferred in whole or in part by either party without the prior written consent of the other party.
  10. Waiver
    1. No failure or delay by either party to exercise any right, power or remedy will operate as a waiver of it nor will any partial exercise preclude any further exercise of the same, or of some other right, power or remedy.
  11. Contracts (Rights of Third Parties Act) 1999
    1. The parties to this Agreement do not intend that any of its terms will be enforceable by virtue of the Contracts (Rights of Third Parties Act) 1999 by any person not party to it.
  12. Entire Agreement, Governing Law and Jurisdiction
    1. This Agreement is the entire agreement and understanding between the parties and supersedes all previous agreements, understandings and undertakings in such respect. The terms and conditions of this Agreement may be amended by Cassidian from time to time. The interpretation, construction and effect of this Agreement shall be governed and construed in all respects in accordance with the Laws of England and the parties hereby submit to the exclusive jurisdiction of the English Courts.
